The Legal Counsel at MDH HQ will play a pivotal role in supporting the company’s strategic objectives by providing expert legal guidance on matters related to data center (DC) operations and technology infrastructure. This position will be instrumental in navigating complex legal landscapes involving hyperscalers, colocation services, and service level agreements (SLAs), ensuring that all contracts and negotiations align with MDH’s business goals.

The Legal Counsel will advise on compliance with industry regulations, data protection laws, and cybersecurity measures critical to the operation of MDH’s data centers. By managing and mitigating legal risks, this role will safeguard MDH’s interests in all client dealings, partnerships, and stakeholder interactions, while also contributing to the long-term stability and expansion of the business.

The Legal Counsel at MDH HQ will play a critical role in providing legal support and guidance for the company’s data center operations and technology infrastructure. This role involves advising on complex legal issues related to data centers, hyperscalers, and colocation services, as well as negotiating high-value contracts with clients and stakeholders. The Legal Counsel will work closely with MDH senior Management and the CEO, providing strategic legal advice and ensuring that all activities comply with relevant laws and regulations as per the industry standards.

Accountabilities:
  • Provide legal advice and support on matters related to MDH’s data center operations, technology infrastructure, and business strategy.

  • Advise the CEO and senior leadership on legal risks, opportunities, and compliance issues within the data center and technology industries.

  • Lead negotiations with hyperscalers, technology companies, and other major clients, ensuring favorable contract terms and protecting MDH’s interests.

  • Review, negotiate and draft complex contracts (with special emphasis on data centers related contracts, e.g. colocation agreement, SLA, data hosting services agreement, M&A, Hyperscale, etc.) in accordance with the relevant laws and standards to safeguard the company’s interests, limit the risk potential and protect it from litigation.

  • Resolve any issues related to contractual matters as may arise from the business.

  • Represent the Company from a legal perspective in negotiating legal terms for contracts and advising the business on the implementation of contracts and be vigilant to potential risks.

  • Ensure that all contracts are in compliance with local and international laws, industry regulations, and MDH’s internal policies.

  • Manage external legal counsel as necessary for specialized legal advice or representation in disputes.

  • Provide advice on tender process etc. to ensure compliance with the company’s contractual standards.

  • Undertake research on relevant laws of the land, new legislation, etc., and recommend any enhancements to the companies contracting processes or procedures to protect its interests. 

  • Oversee compliance with data protection laws, including GDPR and other relevant regulations related to the data center and technology sectors.

  • Identify and mitigate legal risks associated with MDH’s operations, including risks related to technology, cybersecurity, and customer agreements. Act as the main point of contact for the business concerning any contractual matters.

  • Problem solving would typically revolve around independently seeking first to understand issues relating to preventing or resolving issues and then for finding an appropriate solution.

  • Manages research projects and litigation projects effectively, managing external suppliers as well as internal sources to ensure cases are prepared for in the appropriate time spans.

  • Build strong relationships with internal stakeholders, including engineering, operations, finance, and business development teams, to align legal advice with business needs.

  • Monitor legislative and regulatory changes in the technology and data center industries, providing guidance on how these changes may affect MDH Group.

Experience:
  • 8+ years of experience in legal counsel roles within the data center, technology, or telecommunications industries.

  • Significant experience negotiating with hyperscalers, technology companies, and handling colocation service agreements.

  • Expertise in legal matters related to data protection, cybersecurity, Artificial Intelligence (AI) and regulatory compliance within the tech industry.

  • Strong understanding of the legal and regulatory landscape for data centers, AI, technology infrastructure, and hyperscaler operations.

  • Proficient in drafting and negotiating complex service agreements, particularly in relation to data centers and colocation services, and AI driven Solutions.

  • Familiarity with key legal issues surrounding cloud computing, AI governance, data security, and technology infrastructure.

  • Exceptional negotiation and communication skills, with the ability to influence key stakeholders and achieve favourable outcomes for MDH.

  • Strong analytical and problem-solving abilities, with a focus on mitigating risks and ensuring legal compliance, particularly in relation to emerging technologies like AI.

  • Ability to manage multiple, high-value projects in a fast-paced environment while providing timely and accurate legal advice.

  • Collaborative mindset, with strong interpersonal skills to work effectively with senior leadership, clients, and external partners.

Qualifications:
  • Bachelor's degree (B. A.);

  • Master of Law (LL.M.) and preferably in data centres related matters (e.g. Data and Technology, Telecommunications, etc.)

  • Bar membership in an EU country, UK or US

  • Fluency in English.
